1. Our Services
LeadPointsAi provides AI-powered automation, integration, and marketing services including, but not limited to:
- POPIA-compliant cold email outreach systems
- Automated lead-generation systems
- Appointment reminder & review automation
- 24/7 AI phone agents and website/WhatsApp chatbots
- Automated promotional and re-engagement campaigns
- Custom websites, web applications, client portals, and internal dashboards (including website design and development; deployment; analytics dashboard access; and managed hosting, maintenance, and support as standard for ongoing use)
- Any other bespoke AI automation or digital solution we mutually agree to deliver
2. Contract Types and Payment Terms
Every service is offered under one of our standard contract structures (we'll tell you which applies when you choose your package):
A. Month-to-Month Contracts
- Standard monthly pricing
- Invoiced on the 1st of each month for that month's services
- Payment due within 14 calendar days of invoice date
- Late payments attract 6% interest per month calculated daily
- Either party may terminate with 30 days written notice
- Services may be suspended without further notice if payment is 14+ days overdue
B. Fixed-Term Contracts (6 or 12 months)
- 10% discount on the monthly fee for the entire term
- Invoiced on the 1st of each month for that month's services
- Payment due within 30 calendar days of invoice date
- Late payments attract 2% interest per month calculated daily
- Early termination requires payment of 75% of the remaining monthly fees for the unexpired term
- Services may be suspended if payment is 30+ days overdue
C. One-Time Payment Projects
- Available for standalone projects where the client opts for no ongoing managed hosting (e.g., custom websites, landing pages, or dashboards with no backend automation)
- Includes website design, development, deployment, and analytics dashboard access during the project
- Single payment required only after you are 100% happy and have approved the final version
- Pricing quoted upfront; no ongoing fees apply unless you later request managed hosting
D. Managed Hosting, Maintenance, and Support Packages
- This is the standard arrangement for our custom website projects (unless you specifically choose a pure one-time handover)
- Charged as a monthly fee (e.g., via month-to-month or fixed-term contracts above)
- Includes hosting on our managed infrastructure, occasional minor updates (e.g., content tweaks or bug fixes), and general support
- Major changes billed hourly at our standard rate (quoted in advance)
- Failure to pay monthly fees may result in temporary suspension of the website (taken offline) after 14 days overdue, until payment is received. If payments remain unpaid and you are unresponsive for 60 consecutive days, we reserve the right to permanently terminate hosting, take down the website, and delete all associated files, code, and data
E. Pay-per-Result Component
Certain outreach and lead-generation packages include a built-in pay-per-result element (e.g., per reply or qualified lead). This is not a separate contract type; it is simply part of the chosen monthly or fixed-term package pricing.
3. Ownership and Access Rights
Custom websites, web apps, and dashboards with no backend automation: Under our standard service, we retain copyright and ownership of the code and assets while providing ongoing managed hosting and support. You receive a non-exclusive license to use the site and its features during the agreement.
Transfer of full ownership (including source files, design assets, code, and site deployment) is optional and available upon your request, after full one-time payment (if applicable), and payment of a R500 administrative transfer fee. Post-transfer, you own everything outright, but we retain rights to reuse non-custom, generic elements (e.g., templates or boilerplate code) for our internal purposes. No further support or warranty applies after transfer.
Automation systems and projects with ongoing backend connections (n8n, Airtable, API integrations, etc.): These run on our secure infrastructure. You receive exclusive access and full administrative control of your dedicated instance. No other client can view or use your workflows, data, or accounts. Each client receives a freshly built, dedicated instance. Raw workflow files and core backend architecture remain our intellectual property.
4. Refund Policy
All fees are non-refundable once work has begun, access has been granted, or a campaign has launched; with the single exception of one-time payment projects covered in Section 5.
5. One-Time Payment Projects: "Happy Before You Pay"
For standalone custom websites, landing pages, dashboards, or similar projects with no ongoing backend automation:
- You review the complete work on a private staging link
- You are under no obligation to pay until you are 100% satisfied and give written approval
- Only after your final approval and receipt of payment do we transfer ownership, publish the site, or hand over any files
- If you decide not to proceed after approval, the full agreed amount remains due
6. Your Responsibilities
To keep projects running smoothly, you agree to:
- Provide requested branding assets, logins, API keys, domain access, content, or other materials within a reasonable time when we ask
- Respond to approval requests and give final sign-off before any campaign goes live, website is published, or major update is deployed
- For web projects, ensure your site content complies with laws (e.g., no illegal material) and provide timely feedback during development
- If you become unresponsive for more than 30 consecutive days, monthly fees continue to apply and we may pause or terminate the project at our discretion (you will still be liable for any outstanding or cancellation fees)
7. Results & Performance Disclaimer
All performance figures we share (leads, booked calls, reply rates, deliverability, traffic, etc.) are based on industry benchmarks and real-world results achieved with similar systems. Actual results depend on your offer, market, audience, and many external factors. We make no guarantees of specific outcomes, including website traffic, SEO rankings, or uptime beyond our control (e.g., third-party hosting issues). We are not liable for third-party platform restrictions, account suspensions, bans, spam-folder placement, or any deliverability issues beyond our reasonable control. Websites are provided "as is" after launch, with free bug fixes for 30 days; no other warranties apply.
8. Termination & Cancellation
- Month-to-Month contracts: Either party may end the agreement with 30 days written notice.
- Fixed-Term contracts: Early cancellation is only allowed by paying 75% of the remaining monthly fees for the unexpired term.
- We may terminate immediately (and keep all fees paid) if you breach these terms or fail to pay.
Upon any termination:
- All active services stop immediately
- Your exclusive access is revoked
- For web projects under managed hosting, the site may go offline unless you request and pay for transfer (per Section 3)
- Your data and leads are permanently deleted within 30 days
- Any accounts you provided (e.g., email sending accounts, API keys, phone numbers, domain credentials) are disconnected and credentials returned or destroyed
- We retain the right to keep anonymized copies of workflows solely for internal template improvement (no client data or credentials are ever reused)
9. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability to you for any claim is capped at the total fees you paid us in the last six months.
- We are never liable for indirect, consequential, special, or punitive damages (including lost profits, business interruption, or loss of data).
10. Governing Law & General
- These terms are governed by the laws of the Republic of South Africa.
- Once the company is registered in Mauritius, Mauritian law will apply automatically.
- We may update these terms at any time. Continued use of our services after changes means you accept the new terms.
- If any part of these terms is found invalid, the rest remains in force.
11. Confidentiality and Data Protection
We will keep your confidential information secure and use it only for providing services. All personal data handling complies with POPIA — see our Privacy Policy for details.
12. Dispute Resolution
Any disputes will first be addressed through good-faith discussions. If unresolved, we'll use mediation in Cape Town before any legal action, under South African law.
